Users are responsible for the correctness and intent of their content in all languages.   • Verification Requirements: Additional checks may be required for certain business or public-facing submissions to protect platform integrity and community trust.

Account Responsibility

Each user is fully responsible for all content and listings published under their account. Kuqezi.US reserves the right to limit, modify, or revoke certain capabilities if misuse or violation of platform policies is detected.

In no event shall the aggregate liability of Bweb Solutions LLC exceed the greater of one hundred U.S. dollars (USD $100.00) or the amount you paid Kuqezi.US, if any, in the past six months for the services giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Bweb Solutions LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

19. Legal Compliance and Dispute Resolution

19.1. Compliance with Laws

You agree to comply with all applicable U.S. federal, state, and local laws, regulations, and ordinances in connection with your use of the Platform. This includes, but is not limited to, laws related to data privacy, intellectual property, consumer protection, and electronic commerce.

19.2. Dispute Resolution Process

Initial Informal Resolution

We encourage you to contact us first at [email protected] if you have a dispute. Most user concerns can be resolved quickly and to the user's satisfaction by contacting our support team.

Binding Arbitration

If a dispute cannot be resolved informally, you and Kuqezi.US agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, the Supplementary Procedures for Consumer Related Disputes. The arbitration will be held in Pinellas County, Florida, or any other location we agree to.

Exceptions to Agreement to Arbitrate

Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Services, or intellectual property infringement (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above.

Class Action Waiver

You and Kuqezi.US agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial.

20. Governing Law and Venue

20.1. Governing Law

These Terms and any action related thereto will be governed by the laws of the State of Florida without regard to its conflict of laws provisions.

20.2. Venue

Except as otherwise provided in the arbitration agreement, all claims arising out of or relating to these Terms or the Services will be litigated exclusively in the federal or state courts of Pinellas County, Florida, USA, and you and Kuqezi.US consent to personal jurisdiction in those courts.

21. Amendments and Updates to Terms

21.1. Modification of Terms

Kuqezi.US reserves the right to modify these Terms at any time. We will provide notice of material changes as described in Section 1.3. Your continued use of the Platform after such modifications constitutes your acceptance of the new Terms. If you do not agree to the new terms, you must stop using the Services.

  • Data Protection: Technical and organizational measures to protect your data (see Section 4 and Section 8).

22.2. Safe Interactions and Transactions

We provide guidelines and encourage safe practices for interactions on the Platform, including:

  • Messaging and Communication: Promoting safe messaging practices and providing tools to report abuse or harassment.
  • Marketplace and Listings Safety: Offering guidelines for safe in-person meetings, item verification, and secure payment considerations for transactions initiated via our Marketplace, Business, Job, or Real Estate listings (refer to Section 6: Marketplace Rules).
  • Community Events and Networking: Encouraging respectful and safe conduct during community events or professional networking facilitated through the Platform.

  • Subscription Management: For subscription-based services, terms regarding billing cycles, auto-renewal, cancellation procedures, and price changes will be clearly communicated at the time of subscription.
  • Refund Policy: Our refund policy for paid services will be specified at the point of purchase. Generally, payments for subscription services are non-refundable except as required by law or explicitly stated otherwise.

30.2. Reporting Copyright Infringement (DMCA Compliance)

Kuqezi.US complies with the Digital Millennium Copyright Act (DMCA). If you are a copyright owner or an agent thereof and believe that any content on Kuqezi.US infringes upon your copyrights, you may submit a notification pursuant to the DMCA by providing our Designated Copyright Agent with the following information in writing:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works.
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Kuqezi.US to locate the material.
  • Information reasonably sufficient to permit Kuqezi.US to contact you, such as an address, telephone number, and, if available, an email address.
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

If you believe that your content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the material in your content, you may send a counter-notice containing the following information to our Copyright Agent:

  • Your physical or electronic signature.
  • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled.
  • A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content.
  • Your name, address, telephone number, and email address, a statement that you consent to the jurisdiction of the federal court in Pinellas County, Florida, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received by the Copyright Agent, Kuqezi.US may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Kuqezi.US's sole discretion.

30.4. Fair Use

Kuqezi.US recognizes that "fair use" under copyright law permits the limited use of copyrighted material without permission from the rights holders for purposes such as criticism, comment, news reporting, teaching, scholarship, or research. Whether a particular use qualifies as fair use is a legal determination that depends on the specific facts of each case. Users are responsible for ensuring their use of copyrighted material falls within the bounds of fair use or other applicable exceptions.

30.5. Repeat Infringer Policy and Enforcement

Kuqezi.US takes copyright infringement seriously and has adopted a policy of addressing instances of infringement, which may include:

  • Content Removal: Prompt removal or disabling of access to material claimed to be infringing upon receipt of a valid DMCA notification.
  • User Warnings: Notifying users whose content has been removed due to an infringement claim.
  • Account Actions: For repeated or flagrant infringements, Kuqezi.US reserves the right to take further action, including but not limited to, issuing warnings, applying account restrictions, temporarily suspending, or permanently terminating user accounts. The specific actions taken will be at Kuqezi.US's discretion, based on the circumstances of the infringement(s).
  • Legal Compliance: Cooperating with copyright holders and law enforcement as required by law.

Users are expected to respect intellectual property rights. Failure to do so may result in the loss of access to Kuqezi.US services.

SECTION 13: BUSINESS LISTINGS AND PAYMENTS

Kuqezi.US offers registered users the ability to create and manage business listings ("Business Listings") through various subscription plans. By creating a Business Listing or subscribing to a paid plan, you agree to these terms.

1. Plan Tiers and Features

Kuqezi.US offers several subscription plans for Business Listings, each with a different set of features and pricing. Current plans and their respective features include:

  • Free Plan: Includes basic listing information such as business name, logo, description, address, phone number, email, business hours, and keyword tags.

  • Basic Plan ($4.99/month): Includes all Free Plan features, plus links to social media, business website, a products/services section, and access to basic analytics.

  • Pro Plan ($14.99/month): Includes all Basic Plan features, plus customer ratings and reviews, enhanced analytics, up to ten (10) product/service landing pages, and support for multiple addresses (e.g., for chain locations).

  • Elite Plan ($49.99/month): Includes all Pro Plan features, plus direct contact/request functionality for users, lead generation tools, and unlimited product/service pages.

Features and pricing for each plan are subject to change with notice as per Section 21.1 of these Terms.

2. Listing Approval and Responsibility

  • Manual Review: All Business Listings are subject to manual review and approval by the Kuqezi.US moderation team to ensure compliance with our policies.

  • User Responsibility: You are solely responsible for the accuracy, legality, and legitimacy of the information submitted for your Business Listing. Kuqezi.US does not guarantee the accuracy or legitimacy of any business listed.

  • Prohibited Content: Providing false, misleading, illegal, or infringing content in your Business Listing may result in immediate termination of the listing, forfeiture of any fees paid, and potential suspension or permanent ban of your user account.

3. Eligibility and Account Requirements

  • Only registered users of Kuqezi.US in good standing may create and manage Business Listings.

  • Each Business Listing must represent a real, lawful business or service and comply with all applicable laws and Kuqezi.US policies, including our Content Policies (Section 5) and Community Standards (Section 7).

4. Payment, Billing, and Refunds

  • Payment Processing: All payments for subscription plans are processed securely via Stripe. Kuqezi.US does not store your full credit card or payment details on its servers.

  • Subscription Billing: Subscriptions are billed on a monthly basis and will automatically renew at the then-current rate unless canceled by you prior to the renewal date through your account settings.

  • Non-Refundable: All payments for Business Listing subscriptions are non-refundable, including in cases of plan downgrades, accidental purchases, or termination of a listing due to policy violations, except where required by applicable law.

5. Plan Upgrades and Downgrades

  • You may upgrade or downgrade your subscription plan at any time through your account settings.

  • Upgrades: When upgrading, any unused, prorated balance from your current plan may be applied as a credit towards the cost of the new plan. The new billing cycle will commence immediately.

  • Downgrades: When downgrading, your account will be credited with any unused, prorated balance, which will be applied to future payments. No cash refunds are issued for downgrades. If downgrading to the Free Plan, paid features associated with your previous plan will be disabled immediately.

6. Failed Payments

  • If a recurring subscription payment fails or cannot be processed, your Business Listing will automatically revert to the Free Plan.

  • Premium features associated with the paid plan will be locked, and related content or data may become inaccessible until a valid payment method is provided and the subscription is reactivated.

7. Content, Feature Availability, and Data

  • Kuqezi.US reserves the right to modify the features, services, or pricing of Business Listing plans at any time, with reasonable notice provided to existing subscribers.

  • Kuqezi.US is not responsible for any loss of data or content that may occur as a result of plan downgrades, non-payment, or termination of a listing. Business owners are encouraged to maintain their own backups of critical listing information.

8. Termination and Compliance

  • Kuqezi.US reserves the right to remove any Business Listing, suspend or terminate a subscription, and/or suspend or ban the associated user account, without notice or refund, if a listing or user is found to be in violation of these Terms, our Content Policies, Community Standards, or any applicable laws.

SECTION 14: GENERAL PROVISIONS

31. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these Terms.

32. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or terms published by Kuqezi.US on the Platform, shall constitute the entire agreement between you and Bweb Solutions LLC concerning the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform.

33. Waiver

No waiver by Bweb Solutions LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Bweb Solutions LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

34. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Bweb Solutions LLC without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

35. Force Majeure

Bweb Solutions LLC shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Bweb Solutions LLC's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation, fire, flood, acts of God, war, terrorism, labor disputes, or governmental actions.

36. Headings and Captions

The section headings and captions used in these Terms are for convenience only and shall not affect the interpretation of these Terms.

37. Notices

All notices or other communications to Bweb Solutions LLC required or permitted by these Terms (other than DMCA notices, which should be sent to the Designated Copyright Agent as specified in Section 12) shall be in writing and shall be deemed duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or email; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. 38. Relationship of the Parties

Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, employee-employer, or franchisor-franchisee relationship between you and Bweb Solutions LLC.

39. Survival

Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
